Terms of Service
These Terms of Service (“Terms”) govern access to and use of Seller Stack (the “Service”), operated by Saya Entertainment LLC (“Company,” “we,” “us,” or “our”). By creating an account, accepting an invite, clicking to accept these Terms, or using the Service, you agree to these Terms on behalf of yourself and any entity you represent (“you” or “Customer”).
If you do not agree, do not use the Service.
1. Who we are; what the Service is
Seller Stack is a software tool that helps Walmart Marketplace sellers review proposed matches between vendor shipping-confirmation emails and open Walmart purchase orders, and—when you choose—submit shipping updates through Walmart’s APIs. The Service is approve-first by default. Automatic shipping updates, when offered, are optional and subject to your plan and settings.
We are not Walmart, Costco, a carrier, a payment processor for your sales, a law firm, or your seller-of-record. Marketplace relationships remain solely between you and those third parties.
2. Eligibility; invite-only access; accounts
- You must be at least 18 years old and able to form a binding contract.
- Access is invite-only unless we expressly open public signup later.
- You are responsible for safeguarding credentials and for all activity under your account.
- You must provide accurate account information and keep it current.
- One primary operator per tenant during MVP unless we agree otherwise in writing.
3. Beta / MVP status
The Service is provided as an MVP / invite beta. Features may change, break, pause, or be withdrawn. We may throttle, suspend, or terminate access for operational, security, abuse, legal, or non-payment reasons. Free beta access, if any, is time-boxed or usage-capped and does not create a right to perpetual free use after beta ends.
4. Your responsibilities (critical)
You alone are responsible for:
- Compliance with Walmart Marketplace policies, Costco/wholesale vendor terms, carrier rules, tax, consumer, advertising, and all other laws applicable to your selling.
- Accuracy of shipping, tracking, quantities, and order decisions you approve or enable for auto-submit.
- Late shipments, cancellations, chargebacks, buyer claims, account health metrics, and any Walmart penalties or suspensions.
- Obtaining lawful rights to forward vendor emails into the Service and to process any personal data those emails contain.
- Securing your Walmart API credentials and promptly rotating them if compromised.
- Reviewing proposed matches before approving ships; the Service may be wrong.
You acknowledge that using the Service does not transfer any of those responsibilities to Saya Entertainment LLC.
5. API credentials; email; data you provide
You grant us a limited license to process credentials, emails, order metadata, and related data solely to operate the Service for your tenant, enforce these Terms, and comply with law. You represent that you have all rights needed to provide that data. Do not upload data you are not authorized to process.
6. Acceptable use
You will not: reverse engineer the Service except as allowed by law; probe or disrupt systems; circumvent plan limits or security; use the Service for fraud, spam, or unlawful dropshipping schemes; resell access without our written consent; or submit content that infringes others’ rights.
7. Fees; plans; overages
Paid plans (when enabled), quotas, and overage behavior are described in-product or in your order form. Fees are non-refundable except where required by law or expressly stated. Failure to pay may result in suspension. Taxes are your responsibility unless we state otherwise.
8. Intellectual property
We and our licensors own the Service, software, branding, and documentation. You retain ownership of your seller data. Feedback you give may be used by us without obligation to you.
9. Third-party services
The Service depends on third parties (including Walmart APIs, email providers, hosting, and optionally payment processors). Their outages, policy changes, rate limits, and errors are outside our control. We are not liable for third-party acts or omissions.
10. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED/ERROR-FREE OPERATION. WE DO NOT WARRANT THAT MATCHES WILL BE CORRECT, THAT SHIPS WILL BE ACCEPTED BY WALMART, OR THAT THE SERVICE WILL PREVENT LATE SHIPMENTS OR ACCOUNT PENALTIES.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Saya Entertainment LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY; MARKETPLACE PENALTIES; CHARGEBACKS; OR COST OF SUBSTITUTE SERVICES—EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100) IF YOU PAID NOTHING.
Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted.
12. Indemnification
You will defend, indemnify, and hold harmless Saya Entertainment LLC and its people from and against claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of: your use of the Service; your marketplace selling; incorrect or unauthorized ship updates; your emails or personal data; your breach of these Terms; or your violation of law or third-party rights.
13. Suspension; termination; export
Either party may terminate for convenience by closing the account or written notice where we provide that path. We may suspend immediately for security, abuse, legal risk, or non-payment. Upon termination, your right to use the Service ends. We may provide export of match history where the product supports it; we may delete data after a retention window consistent with our Privacy Policy.
14. Changes
We may update these Terms by posting a new version with a new effective date and version id. Continued use after the effective date constitutes acceptance, except where law requires additional consent. Material changes for paying customers may be announced in-product or by email when practical.
15. Governing law; disputes
These Terms are governed by the laws of the United States and the State of Delaware, excluding conflict-of-law rules. Exclusive venue for disputes not subject to mandatory consumer protections elsewhere is the state or federal courts located in Delaware, unless we agree in writing to another forum. You waive jury trial to the extent permitted by law. Either party may seek injunctive relief for IP or misuse in any competent court.
16. Miscellaneous
These Terms are the entire agreement for the Service and supersede prior oral or written agreements on the same subject. If a provision is unenforceable, the rest remains in effect. Failure to enforce is not a waiver. You may not assign without our consent; we may assign to an affiliate or successor. Notices to us: [email protected]. Notices to you: account email or in-product notice.
17. Related documents
Your use is also subject to our Privacy Policy and Disclaimer, which are incorporated by reference.
