Disclaimer & limitation of responsibility
Read this carefully. This Disclaimer supplements the Terms of Service and Privacy Policy. If anything here conflicts with the Terms, the Terms control except that this Disclaimer’s risk allocation stands to the maximum extent permitted by law.
1. No responsibility for marketplace outcomes
Saya Entertainment LLC is not responsible for your Walmart seller account health, late-shipment rates, cancellations, refunds, chargebacks, A-to-Z or buyer claims, policy violations, suspensions, or lost sales. Those outcomes remain yours alone—even when you use Seller Stack to propose or submit tracking.
2. Matching and shipping decisions can be wrong
Automated and assisted matching uses heuristics (including ship-to name/address and email parsing). Matches may be incomplete, outdated, duplicated, or assigned to the wrong purchase order. You must review before approving. Enabling any auto-ship mode is at your sole risk. We are not liable for wrong-PO ships, partial quantity errors, carrier/tracking mistakes, or Walmart API rejections.
3. Not affiliated with Walmart, Costco, or carriers
Seller Stack is an independent product of Saya Entertainment LLC. We are not endorsed by, partnered with (unless we separately and publicly say so with evidence), or agents of Walmart Inc., Costco Wholesale Corporation, UPS, FedEx, USPS, or other vendors/carriers. Trademarks belong to their owners and are used only for identification.
4. No professional advice
Nothing in the Service is legal, tax, accounting, compliance, or logistics advice. You should consult your own advisors before relying on the Service for business decisions.
5. As-is software; beta risk
The Service is MVP / beta software provided AS IS. It may contain bugs, downtime, data loss, delayed email ingestion, or incorrect UI states. You assume all risk of use during testing and production.
6. Third-party failures
We are not responsible for outages, rate limits, auth failures, schema changes, or policy enforcement by Walmart APIs, email providers, DNS/email routing, hosting providers, browsers, or internet networks.
7. Limitation of damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Saya Entertainment LLC DISCLAIMS ALL LIABILITY FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, AND FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM THE SERVICE OR THIS DISCLAIMER. OUR AGGREGATE LIABILITY IS CAPPED AS STATED IN THE TERMS (GENERALLY FEES PAID IN THE PRIOR THREE MONTHS OR US $100 IF YOU PAID NOTHING).
8. Your indemnity
You agree to indemnify and hold Saya Entertainment LLC harmless from claims arising from your selling activities, ship approvals, email content, credentials, or misuse of the Service, as further detailed in the Terms.
9. Acknowledgement
By accepting an invite, checking the legal acceptance box, or using the Service, you confirm that you have read this Disclaimer and understand that Saya Entertainment LLC does not assume your seller, logistics, or marketplace liabilities.
